So basically the game selects random players to spawn in your vacenity off camera and could choose to help you or ignore you. like Journey.

Yeah, too much trolls would get involved. Of course there is a solution even for a mic. Let's say someone want to talk with us, and we can agree to speak with him. If someone else want to talk with us, he first needs to get invitation to the chat. Something like we have on skype. Will see how they will solve this, because it's one of the most important thing in Cities. During co-op missions with friends/randoms...mic is a must I think. Emots are great when You are playing alone with randoms and don't want to talk (or playing at night and don't want to wake others).

If they did do proximity voice, that seems like it could get hectic if more than 2 people were around trying to talk.

Well we do have Xbox Live Parties, So if you wanted to talk to someone who was helping you, you could just invite him to your party. :)
